Please read these Terms of Service ("Terms") carefully before using the Alfabita website or engaging our services. By accessing our website or using our services, you agree to be bound by these Terms.
1. Services
Alfabita provides custom AI software development, AI consulting, and related services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in individual Statements of Work (SOW) or project agreements.
2. Intellectual Property
Upon receipt of full payment, clients receive ownership of all custom code and deliverables created specifically for their project. Alfabita retains ownership of pre-existing tools, frameworks, and proprietary methodologies used in the delivery of services.
3. Confidentiality
Both parties agree to keep confidential all proprietary and sensitive information shared during the course of an engagement. Confidentiality obligations survive the termination of any project agreement.
4. Client Responsibilities
Clients are responsible for providing accurate project requirements, timely feedback, and necessary access to systems and data required to complete the project. Delays caused by client-side issues may affect project timelines.
5. Payment Terms
Payment terms are defined in individual project agreements. Typically, projects require an upfront deposit with subsequent payments tied to milestone deliveries. Late payments may incur interest charges.
6. Limitation of Liability
Alfabita's liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
7. Warranty
We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 30-day warranty period after project delivery to address any bugs or defects at no additional cost.
8. Termination
Either party may terminate a project agreement with 30 days written notice. The client is responsible for payment for all work completed up to the termination date.
9. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes shall be resolved through arbitration before resorting to litigation.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Continued use of our website or services after changes constitutes acceptance of the new Terms.
